Terms and Conditions for Social Media Influencers - Commission for Movie Ticket Sales
These Terms and Conditions (the "Agreement") govern the relationship between Newton Cinema Private Limited (hereinafter referred to as the "Company"), and social media influencers (hereinafter referred to as the "Influencers") participating in the commission-based referral program for the sale of movie tickets (hereinafter referred to as the "Program") through influencer platform www.tortil.com (hereinafter referred to as the “Platform”). By participating in the Program, Influencers agree to comply with these Terms and Conditions.
Participation
Influencers must be at least 18 years of age (as of 20th June, 2024).
Influencers must be a citizen or resident of India.
Participation in the Program is voluntary and does not create any employment or agency relationship between the Influencer and the Company.
Commission Structure
Influencers will earn a commission for every lead they generate through a designated referral link provided by the Company that results in the successful purchase of a movie ticket for a specific film online.
The commission shall be ₹30 for each successful referral irrespective of the total ticket sale amount. The referral criteria is detailed in the section below.
Referral Criteria
The Company will provide each Influencer with a unique referral link to track leads generated by the Influencer from their social channels to the Platform.
Influencers are responsible for ensuring that their referral link is used by leads when purchasing movie tickets online to qualify for commissions.
The Platform will ensure that the leads are registered, identified and are mapped to their influencer referrals and any voucher codes generated.
The Platform will partner with the ticketing platforms to track the voucher redemption and ticket purchase status of the leads.
Referral Tracking
The Company will provide each Influencer with a unique referral link to track leads generated by the Influencer from their social channels to the Platform.
Influencers are responsible for ensuring that their referral link is used by leads when purchasing movie tickets online to qualify for commissions.
The Platform will ensure that the leads are registered, identified and are mapped to their influencer referrals and any voucher codes generated.
The Platform will partner with the ticketing platforms to track the voucher redemption and ticket purchase status of the leads.
Payment
Commissions earned by Influencers will be paid at the end of the Program.
Payment will be made in the form of Indian Rupees (₹) to the Influencer's designated payment bank account via direct transfer.
TDS (Tax Deducted at Source) will be deducted by the Company on the payment amount as applicable.
Compliance
Influencers must comply with all applicable laws, regulations, and guidelines, including those related to advertising, marketing, and online conduct.
Influencers are responsible for ensuring that any content posted in connection with the Program is accurate, truthful, and does not violate the rights of any third party.
Influencer shall not in any manner cause or attempt to cause disparagement of, or bring disrepute to, the Company or its movies.
Influencers shall indemnify the Company against any loss, damages, costs or claims incurred by the Company due to any actions, omissions or negligence attributable to the Influencer, including but not limited to breach of any terms of this T&C or violation of any applicable laws.
Termination
The Company may terminate or suspend the Program at any time without prior notice. In the event of Program termination, the Influencer shall be eligible for any outstanding commissions prior to the date of termination of Program.
The Company reserves the right to terminate an Influencer's participation in the Program at any time and for any reason, including but not limited to violation of these Terms and Conditions, fraudulent activity, or inappropriate conduct.
Upon termination, any outstanding commissions earned by the Influencer will be forfeited.
Confidentiality
Influencers may have access to confidential information about the Company, its products, or the Program. Influencers agree to keep such information confidential and not disclose it to third parties without the Company's prior written consent.
Amendments
The Company reserves the right to amend or modify these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on the Company's website or notification to Influencers.
Disputes
Any disputes pertaining to this T&C shall be referred to arbitration as per the Arbitration and conciliation Act, 1996. The Parties shall mutually nominate a sole Arbitrator whose decision shall be binding. The venue of Arbitration shall be Ernakulam, Kerala State and the medium of arbitration shall be in English.
By participating in the Program, Influencers acknowledge that they have read, understood, and agreed to abide by these Terms and Conditions. Failure to comply with these Terms and Conditions may result in the termination of an Influencer's participation in the Program and forfeiture of any commissions earned.
